This website (cessentials.shop) (“Website”) is operated by Cessentials (UEN: 53531205M), a business entity registered in Singapore and having its operational address at 10 Toh Guan Road East, #B10-21 Storefriendly, Singapore 608597 (“Cessentials”, “us”, “we”).

These terms and conditions (“Terms”) form a legally binding contract between you (“Customer”, “you”) and us. By accessing or using the Website, registering an account, or purchasing any products on our Website (“Products”), you agree to be bound by these Terms in full.

We may amend these Terms at any time, in our sole discretion, by publishing revised or updated Terms on the Website. The revised or updated Terms are legally binding immediately upon publication. These Terms include and incorporate any additional guidelines, privacy notices, or policies issued by us on the Website.

1. OPERATIONAL MODEL & NO WALK-INS

Cessentials operates strictly as an online e-commerce establishment. Our registered and operational facility at 10 Toh Guan Road East, #B10-21 Storefriendly, Singapore 608597 serves exclusively as an administrative and logistics hub. No physical walk-in sales, counter inquiries, self-pickups, or cash transactions are permitted at our facility under any circumstances. All transactions, service inquiries, and return authorizations must be conducted through cessentials.shop.

2. ORDERS & ACCEPTANCE

Making and Accepting Orders

Orders submitted by you are subject to acceptance by Cessentials. No binding contract to sell or deliver Products is formed until:

• You receive an official Order Confirmation email from us; or
• We dispatch the ordered Products to your designated delivery address and issue a tracking reference.

We are not obligated to accept any Order and shall not be liable for any failure or refusal to accept an Order. We reserve the right to refuse or cancel Orders for any reason, including product unavailability, pricing errors, or suspected fraudulent activity. If Products are temporarily out of stock, we may request you to modify your Order or agree to an extended delivery timeline prior to acceptance. If payment has been processed for an Order that is subsequently rejected or cancelled, a full refund of the amount paid will be issued.

Order Terms

Upon acceptance of an Order, you authorize Cessentials to charge, and you agree to pay, the Final Price for the Products ordered. Payment must be executed using the digital payment gateways provided on the Website (Stripe, PayNow, GrabPay, Visa, Mastercard). The Customer may not apply or impose any alternate terms, conditions, or purchase order requirements to an Order.

3. PRICING & MISPRICING DISCLAIMER

All listed prices are quoted in Singapore Dollars (SGD). Listed prices exclude applicable shipping, delivery fees, taxes, or handling charges, which will be calculated and displayed separately in the Final Price at checkout. We make reasonable efforts to ensure all prices displayed on our Website are accurate. However, pricing errors may occur. In the event of a pricing error, Cessentials reserves the right, in its sole discretion, to cancel any accepted or pending Orders for mispriced Products without any liability to you. We reserve the right to vary listed prices at any time without prior notice.

4. PRODUCT LISTINGS & SPECIFICATIONS

Ordered Products possess the specifications set out on their respective product description pages on the Website. While we take reasonable care to ensure specifications are accurate, product specifications (excluding pricing) are based on data provided by manufacturing partners and suppliers. Cessentials makes no warranty or representation regarding the accuracy of product descriptions or specifications and shall not be liable for minor variations, errors, or omissions.

Product descriptions on the Website serve solely to identify the items. You acknowledge that you do not rely on descriptions when placing Orders, and no Order constitutes a sale by description. Cessentials makes no warranty that Products will be fit for any specific purpose, whether or not such purpose was communicated to us prior to placing the Order. Visual representations, photographs, or videos of Products are for illustrative purposes only. Listing a Product does not guarantee continuous stock availability.

5. LOGISTICS, RISK & TITLE

Risk and Title

Risk of damage to or loss of Products passes to you immediately upon successful delivery by our logistics partners, or at the time delivery is attempted if you wrongfully fail or refuse to accept delivery. Legal title and ownership of Products remain with Cessentials until full payment of the Final Price is received and delivery is completed.

Delivery Terms SLA

Cessentials will use reasonable endeavors to deliver Products to the specified Delivery Address within our standard 5-business-day delivery SLA. Delivery timelines provided are estimates only; time is not of the essence for any Order, and Cessentials shall not be liable for delivery delays. You are responsible for paying all applicable Delivery Fees calculated at checkout.

Due to geographical or security restrictions, we are unable to deliver to certain restricted locations across Singapore. A non-exhaustive list of excluded delivery zones is set out in Schedule 1.

Force Majeure

Cessentials shall not be liable for any failure or delay in performing its obligations caused by circumstances beyond its reasonable control, including acts of God, natural disasters, severe weather conditions, strikes, traffic disruptions, riots, civil unrest, war, epidemics, pandemics, failure of telecommunication networks, transport infrastructure breakdowns, accidents, or changes in government laws and regulations.

6. ORDER TRACKING

You may monitor the status of your order using the tracking link and consignment number provided in your shipping confirmation email, or through the order dashboard within your registered account on cessentials.shop.

7. CANCELLATIONS

Cancellation by Cessentials

We reserve the right to cancel an accepted Order at any time prior to delivery for any operational, stock, or compliance reason. Upon cancellation by us, all future obligations of both parties cease, and Cessentials will issue a full refund of all funds paid for the cancelled Order.

Cancellation by Customer

Customer requests to cancel an Order must be submitted to our Customer Support Team prior to dispatch. Cessentials maintains sole discretion to approve or reject cancellation requests. Orders that have already been dispatched or delivered cannot be cancelled and must proceed under our Return & Refund Policy.

8. RETURNS, REFUNDS & EXCHANGES

Change of Mind Returns

You may request to return a Product due to change of mind or dissatisfaction provided that:

• The Product is not listed as a Non-refundable Product under Schedule 2;
• The return request is submitted within 14 calendar days from the courier delivery receipt date;
• The Product is unused, unaltered, unwashed, and in its original condition;
• The Product is in its original manufacturer packaging with all security tags intact.

You bear all shipping costs incurred in returning a Product for Change of Mind. If you received free shipping on an order subsequently returned for Change of Mind, Cessentials reserves the right to deduct original outward shipping costs from the final refund amount.

Defective or Wrong Products

You may return a Product if it arrives damaged, incorrect, or defective. If a returned Product is confirmed by our technical team to be defective or erroneous, Cessentials will reimburse reasonable return postage costs and issue a full refund or replacement.

Exchanges

Cessentials does not offer direct product exchanges. Customers wishing to exchange an item must return the eligible item for a refund and place a new order online.

9. LIMITATION OF LIABILITY & 1-YEAR CLAIMS LIMIT

To the maximum extent permitted by Singapore law, neither party shall be liable for any special, indirect, incidental, or consequential damages, including loss of profit, revenue, business, or goodwill. Cessentials is not liable for losses arising from improper DIY installation, misuse, failure to observe care instructions, fair wear and tear, or unauthorized product modifications.

Cessentials’s total cumulative liability for any claim arising out of or relating to an Order or these Terms shall not exceed the Final Price paid for the specific Product giving rise to the claim.

Statute of Limitations: No legal action, lawsuit, or arbitration arising out of or in connection with any Order or these Terms may be brought against Cessentials more than one (1) year after the delivery of the Product or termination of the Order, whichever is earlier.

10. INTELLECTUAL PROPERTY

All content on this Website—including logos, trademarks, text, graphics, product designs, software code, and visual assets—is the exclusive property of Cessentials or its licensors. You shall not copy, modify, adapt, reverse-engineer, or reproduce any site content or trademarks without express prior written consent from Cessentials.

11. USE OF SITE & ACCOUNT RESPONSIBILITY

You shall not use the Website for illegal, fraudulent, or improper purposes. You are solely responsible for maintaining the confidentiality of your account credentials and password. Cessentials reserves the right to suspend or terminate user accounts that violate these Terms or engage in website misuse.

12. SMS MARKETING & ABANDONED CART NOTIFICATIONS

By opting in to SMS communications at checkout, you agree to receive recurring text notifications (including order updates and automated abandoned checkout reminders) and promotional offers from Cessentials, even if your number is listed on any Do-Not-Call registry. Message frequency varies. Consent is not a condition of purchase.

To opt out of SMS marketing, reply STOP to any mobile message received from us. For assistance, text HELP or contact support@cessentials.shop. You are responsible for all text messaging charges imposed by your wireless provider.

13. GENERAL LEGAL PROVISIONS

• Governing Law: These Terms and all Orders are governed by and construed in accordance with the laws of the Republic of Singapore. Parties submit to the jurisdiction of the Singapore courts.
• Assignment & Sub-Contracting: Cessentials may assign or sub-contract its rights and obligations under these Terms without customer consent. Customers may not assign rights without written consent.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be severed, and remaining provisions shall remain in full force.
• Third Party Rights: A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 2001 to enforce any term.
• Entire Agreement: These Terms, together with our PDPA Privacy Policy and Refund Policy, constitute the entire agreement between the parties, superseding all prior communications.
